Tax Framework of the Assignment of Contractual Position

The transfer of a contractual position implies the payment of capital gains, in terms of IRS and IMT, with peculiarities that must be taken into account:

Capital Gains

Capital gains obtained from the transfer of a contractual position are taxed at 50% for IRS purposes. However, it isn't possible to deduct the costs incurred in this transaction, namely registration, hiring a real estate agency, obtaining the energy certificate, and signing the CPCV and the Deed.

IMT

The assignment of a contractual position implies the payment of ITBI at a rate of 6.5%, with the current progressive rates not being adopted. Furthermore, you should take into account that, within the scope of the position assignment, the economic activity of resale does not benefit from IMT exemption.

 

However, the amount of IMT payable may vary depending on the CPCV, that is, whether or not it includes a clause providing for the possibility of a transfer of position:

Transfer of Position without Clause in the CPCV: the original buyer will pay IMT based on the property value shown in the CPCV, and will have 30 days after the deed to make this payment.

In turn, the new buyer pays the full IMT on the property value at the time of the deed, based on the rates in force.

 

Transfer of Position with Clause in the CPCV: the original buyer will pay the IMT on the value of the down payment made before signing the CPCV and whenever reinforcements occur.

In turn, the new buyer pays IMT on the value of the transfer of position at the rate of 6.5%. Subsequently, at the time of the deed, the outstanding IMT will be paid at the rates in force.
